PARTNERSHIP AGREEMENT

Between: Claudia Sherrin (Innovative Marketing SA®) and [Client Name] ([Client Company]) (Hereinafter referred to as “the Parties”)

PRICING & PAYMENT TERMS

Discounted Pricing:

  • Innovative Marketing SA® will receive a preferential pricing structure on projects undertaken with (Devin Lester Photography), and vice versa.
  • This discount must be factored into quotations provided to Innovative Marketing SA®.

Commission Structure:

  • Innovative Marketing SA® will invoice the client directly, adding a 20% commission fee.
  • (Devin Lester Photography) will invoice Innovative Marketing SA® for its portion of the project costs.
  • Payment to (Devin Lester Photography) will be made upon receipt of funds from the client.

Payment Terms & Conditions (TCs):

  • (Devin Lester Photography)’s payment TCs will be included in all client quotes.
  • If no specific TCs are provided by (Devin Lester Photography), none will be included in the agreement with the client.

CLIENT OWNERSHIP & RELATIONSHIPS

  • Clients referred by Innovative Marketing SA® to (Devin Lester Photography) remain the exclusive clients of Innovative Marketing SA®.
  • (Devin Lester Photography) shall not directly solicit, approach, or contract with these clients unless agreed upon in writing.
  • The same conditions apply for clients referred by (Devin Lester Photography) to Innovative Marketing SA®.

DATABASE PRIVACY & PROTECTION

Data Ownership:

  • All client databases provided by Innovative Marketing SA® remain its exclusive property.
  • (Devin Lester Photography) may only use the database for agreed-upon purposes and shall not sell, reuse, or distribute it.
    Confidentiality:

    • Any unauthorised distribution of the database will hold (Devin Lester Photography) liable for legal consequences under South African data protection laws (POPIA) and relevant South African regulations where applicable.

CLIENT CORRESPONDENCE & PROJECT DELIVERY

Projects Managed by (Devin Lester Photography):

  • Innovative Marketing SA® will provide initial project information.
  • (Devin Lester Photography) will liaise with clients for technical and project completion matters.
  • (Devin Lester Photography) assumes full financial and legal responsibility for any issues with the final product.
  • Innovative Marketing SA® must be CC’d in all client correspondence.

Projects Managed by Innovative Marketing SA®:

  • (Devin Lester Photography) will provide initial project information.
  • Innovative Marketing SA® will liaise with clients for technical and project completion matters.
  • Innovative Marketing SA® assumes full financial and legal responsibility for any issues with the final product.
  • (Devin Lester Photography) must be CC’d in all client correspondence.

ACCOUNT ACCESS & EMPLOYEE PROTECTION

Account Access:

  • Innovative Marketing SA® will have full access to all client projects for marketing-related purposes.

Non-Solicitation Clause:

  • Neither party shall solicit or offer employment to the other party’s employees for the duration of the agreement and for a period of 12 months post-termination.

RECIPROCATION AGREEMENT

Mutual Discount Arrangement:

  • Should (Devin Lester Photography) engage Innovative Marketing SA®’s services for a client, a reciprocal 20% discount will be extended by Innovative Marketing SA® to (Devin Lester Photography).

GENERAL TERMS & CONDITIONS

Governing Law & Jurisdiction:

  • This agreement is governed by South African law.
  • Any disputes will be resolved under the jurisdiction of South African courts.

Amendments & Termination:

  • Any changes to this agreement must be in writing and signed by both parties.
  • Either party may terminate the agreement with 30 days written notice.

Acceptance of Terms:

  • By signing this agreement, both parties confirm that they have read, understood, and agree to abide by the Terms & Conditions of (Devin Lester Photography), as detailed here: https://devinlester.com/terms-and-conditions/
