Project Agreement between Innovative Marketing SA® AND Zolile Clifton Fica - Zolsi Security & Cleaning Services

SUMMARY

We will always strive to meet your expectations, but it’s crucial to have everything in writing so both parties understand the expectations, responsibilities, timelines, and what happens if something goes wrong. This agreement is simple, with no complex legal jargon—just clear terms to ensure mutual understanding and a smooth working relationship.

In short: You, Zolile Clifton Fica - Zolsi Security & Cleaning Services ("You"), are hiring Innovative Marketing SA® ("We" or "Us") to complete the following project: CERTIFICATE OF COMPLIANCE, for the total price of R 840.

Once we receive the signed agreement, we will issue an invoice. The project will be scheduled as soon as payment has been received.

PAYMENT SCHEDULE

We appreciate your understanding of the importance of timely payments for our small business. All projects must be paid for in full before commencement. Standard rates have been quoted; however, if a project exceeds the allocated time, an additional fee of R 0 per hour will be charged.

Final feedback to complete a project must be submitted within 10 working days from the last correspondence. If no feedback is received within this period, the project will be deemed dormant and will require a new quote to continue.

All invoices are issued electronically, and payments must be made via EFT within 7 (seven) days of the invoice date. Late or non-payment will result in the project being placed on hold, and a new quote will be required to resume work.

All pricing is in South African Rands (ZAR), and international payments must be made at the prevailing exchange rate at the time of transfer. You agree to cover any bank transfer fees or deposit charges associated with international transactions.

All payments are final and non-refundable.

CANCELLATION POLICY

Since we work in advance and make software commitments, the cancellation terms are as follows:

One-month notice, effective from the 1st of the new month, is required.

Reactivation Fee: Should the account be dormant for more than four weeks, a reactivation fee of [agreementcurrency]  will be charged.

CLIENT RESPONSIBILITY

You, Zolsi Security & Cleaning Services, understand that we are not an employee, and this is a professional partnership. In this partnership, mutual respect, courtesy, and clear communication are vital. Please designate a single point of contact to avoid any miscommunications. You also agree to respond to our inquiries and requests in a timely manner to ensure smooth project flow.

We ask for reasonable notice to attend to your requests. Poor planning or miscommunication from your side will not be treated as an emergency on our part. We may require detailed clarification of projects to provide the best quality of work.

MEETINGS

This project includes a set number of hours for management. Time spent in meetings (on-site or virtual) will be deducted from the allocated hours. We suggest holding online meetings (via WhatsApp, Google Meet, etc.) to avoid impacting social media management time.

TECHNICAL SUPPORT

We offer technical support via email. This method ensures that we have time to research and provide accurate solutions, while also giving you a trail to refer to if needed.

OFFICE HOURS & COMMUNICATIONS

Our office hours are Monday to Friday, 9:00 a.m. to 03:00 p.m. (South Africa Standard Time). Email and our collaborative calendar software are the primary means of communication between Zolsi Security & Cleaning Services and Innovative Marketing SA®.

We are available for phone calls during office hours, but unplanned calls longer than 10 minutes will be billed. Telephoned or video meetings should be scheduled at least 24 hours in advance. Cancellations require 24 hours' notice; missed meetings or insufficient notice will incur a charge of [agreementcurrency] 420 per hour.

GRAPHICS AND PHOTOGRAPHS

Basic artwork is included in your package. If additional photography is required, you will need to provide images, or we can arrange this through our partner photographer for an extra charge. Please supply logos in editable, vector format and, ideally, provide a brand guide.

For your annual strategy and any additional promotions, you should supply a brief with selected dates, or we can suggest dates. You are entitled to two rounds of changes per design. Further revisions will incur an additional charge of [agreementcurrency] 0 per hour.

You should supply logos in an editable, vector digital format. If you have a brand guide, that would be even better! Should you require a brand guide, please discuss options with us.

Should you require designs to be done for print purposes, these photographs need to be supplied in a high-resolution digital format. If you choose to buy stock photographs, we can suggest stock libraries. We are able to source generic stock images, however, if there is a specific image you require that we cannot source from our library, you will need to purchase it separately.

TEXT CONTENT

You are responsible for providing text content when requested. You will need to provide text for these projects such as menu items, services or products and descriptions. Please make sure that the text is written and capitalised the way you want it. e.g. If it is written in ALL CAPS - exactly how you want it, we will presume that you want it added like that. We are not responsible for correcting grammar or typos.

APPROVAL OF ARTWORK

Once you approve the text, artwork, design concepts, strategies, and campaigns, we will proceed based on your approval. Any changes after approval will be treated as a new project, and quoted accordingly.

CHANGES AND REVISIONS

If specific images are required, they must be provided before the design process begins. If not supplied, we will use stock images. Any subsequent changes will be considered a new design post and will be scheduled accordingly.

We will try our best to ensure posts go live on time, but some posts may take longer, and this could overlap with the following week's schedule. Any additional revisions will be quoted separately.

LEGAL STUFF

We will provide services in line with industry standards. However, we cannot guarantee that our work will be error-free, nor can we be held liable for lost profits or any other incidental, consequential, or special damages. Your liability to us is limited to the fees paid under this agreement.

In the event that any provision of this agreement is found to be unenforceable, it will be deemed severable, and the remainder of the agreement will remain in force.

INTELLECTUAL PROPERTY RIGHTS

You guarantee that any materials you provide (text, images, etc.) are either owned by you or you have the right to use them. We guarantee that any materials we provide are either owned by us or we have permission to use them.

Upon full payment, we will assign all intellectual property rights to you, except for any pre-existing intellectual property or work developed separately from the project. We retain ownership of any work produced before or outside this project.

Content produced by us will remain under Innovative Marketing SA® trademark and may not be used outside the agreement period without written consent.

DISPLAYING OUR WORK

We may display aspects of the work we complete, including drafts, final designs, and articles, in our portfolio or other publications.
