SUMMARY
We will always strive to meet your expectations, but it’s crucial to have everything in writing so both parties understand the expectations, responsibilities, timelines, and what happens if something goes wrong. This agreement is simple, with no complex legal jargon—just clear terms to ensure mutual understanding and a smooth working relationship.
In short: You, Mark Finnegan - Bio Chemicals ("You"), are hiring Innovative Marketing SA® ("We" or "Us") to continue working on your online marketing for the total price of R 4,200.00 per month for 12 months, as outlined in our correspondence.
All pricing is exclusive of VAT.
We require a signed copy of this agreement no later than ASAP (before Friday, 8 May 2026 at the very latest) for the work to proceed.
PAYMENT SCHEDULE
We are a small business, and your timely payment helps us continue providing excellent service. Please adhere to the following payment schedule to maintain a positive working relationship:
The social media package you selected is the Opportunist package. Refer to the breakdown previously provided. Payments are due in advance on a monthly basis at R 4,200.00, for the duration of 12 month/s.
The agreement starts on 11 May 2026 and ends on 30 April 2027. Please note that the payment is for the agreed-upon social media/website management services as per your package. Any services above and beyond this will be quoted separately.
We issue invoices electronically. Payments should be made via EFT by the 5th of each month. Late or non-payments will result in the suspension of your account until payment is received. All proposals are quoted in South African Rand (ZAR) and payments will be converted at the exchange rate applicable on the day the payment is made. You agree to cover any charges associated with international transfers or deposit fees. Bank account details will be provided on the invoice.
CANCELLATION/PACKAGE ADJUSTMENTS POLICY
Since our services require advance planning and software commitments, the following terms apply:
New Accounts: After the initial three-month setup period, a 60-day written notice is required for cancellation.
Ongoing Accounts: Thereafter, a one-month written notice, effective from the 1st of the following month, is required.
Festive Period: As our office resets annually in December, cancellations during this period must be received by 1 November. Any cancellations received between 1 November and 31 December will take effect from 1 January, and the January invoice (issued on 20 December) will constitute the final payment.
Payments are non-refundable. Minimum commitment: 12 months.
Reactivation Fee: Should an account remain dormant for more than four (4) weeks, a reactivation fee of R1,500.00 will apply.
CLIENT RESPONSIBILITY
You, Bio Chemicals, understand that we are not an employee, and this is a professional partnership. In this partnership, mutual respect, courtesy, and clear communication are vital. Please designate a single point of contact to avoid any miscommunications. You also agree to respond to our inquiries and requests in a timely manner to ensure smooth project flow.
We ask for reasonable notice to attend to your requests. Poor planning or miscommunication from your side will not be treated as an emergency on our part. We may require detailed clarification of projects to provide the best quality of work.
AVAILABILITY AND COMMUNICATION
Your package includes a set number of hours for social media management. Time spent in meetings (on-site or virtual) will be deducted from the allocated hours. We suggest holding online meetings (via WhatsApp or Google Meet) to avoid impacting social media management time.
We are available via email and ZoomSphere Monday through Thursday from 8:00 am to 3:00 pm, Fridays from 8:00 am to 12:00 pm Central African time. Our normal response time is one business day, though our response time may vary. We do not work on weekends or holidays.
Email and ZoomSphere (our collaborative calendar) are the primary means of communication accepted for our work together. We do not communicate via mobile phone, text message, social media, or instant/private messaging (like Facebook Messenger) since we cannot track these requests as a team. No response will be made to any messaging or notices through those unapproved means, as those methods of communication will not be monitored by support personnel. We only use WhatsApp for location/map verifications.
We are available for phone calls during office hours, but unplanned calls longer than 15 minutes will be billed. Telephoned or video meetings should be scheduled at least 24 hours in advance. Cancellations require 24 hours' notice; missed meetings or insufficient notice will incur a charge of R 650.00 per hour.
TECHNICAL SUPPORT
We offer technical support via email. This method ensures that we have time to research and provide accurate solutions, while also giving you a trail to refer to if needed.
GRAPHICS AND PHOTOGRAPHS
Basic artwork is included in your package. If additional photography is required, you will need to provide images, or we can arrange this through our partner photographer for an extra charge. Please supply logos in editable, vector format and, ideally, provide a brand guide.
For your annual strategy, you are entitled to two rounds of changes per design. Further revisions will incur an additional charge of R 650.00 per hour.
You should supply logos in an editable, vector digital format. If you have a brand guide, that would be even better! Should you require a brand guide, please discuss options with us.
It is presumed that you will supply day-to-day office photos and videos for real-time content, as well as new product items and so forth. These can be sent to us via ZoomSphere's chat.
Should you require designs to be done for print or other purposes, these photographs need to be supplied in a high-resolution digital format. If you choose to buy stock photographs, we can suggest stock libraries. We are able to source generic stock images, however, if there is a specific image you require that we cannot source from our library, you will need to purchase it separately.
TEXT CONTENT
You are responsible for providing text content when requested. You will need to provide text for these projects, such as menu items, services or products and descriptions. Please make sure that the text is written and capitalised the way you want it. e.g. If it is written in ALL CAPS - exactly how you want it, we will presume that you want it added like that. We are not responsible for correcting grammar or typos.
APPROVAL OF ARTWORK
Strategic Content: This comes from the Annual Strategy we built. This is the high-level content we plan in advance. This is the only content that is sent for approval annually.
Collaborative Calendar: We use ZoomSphere specifically, so you have 24/7 visibility. You can view, comment, and track upcoming posts in real-time on the calendar. This is designed to avoid additional email traffic.
Monthly Records: The finalised schedule we send at the end of each month is a standard service we provide for your permanent business records, rather than a prompt for initial review.
Frequency & Variety: Our goal is a mix of core brand pillars and fresh updates. If you feel the variety is lacking, let’s schedule a brief 10-minute catch-up to refresh the creative assets.
Once you approve the text, artwork, design concepts, strategies, and campaigns, we will proceed based on your approval. Any changes after approval will be treated as a new project and quoted accordingly.
CHANGES AND REVISIONS
If specific images are required, they must be provided before the design process begins. If not supplied, we will use stock images. Any subsequent changes will be considered a new design post and will be scheduled accordingly.
We will try our best to ensure posts go live on time, but some posts may take longer, and this could overlap with the following week's schedule. Any additional revisions will be quoted separately.
LEGAL STUFF
We will provide services in line with industry standards. However, we cannot guarantee that our work will be error-free, nor can we be held liable for lost profits or any other incidental, consequential, or special damages. Your liability to us is limited to the fees paid under this agreement.
In the event that any provision of this agreement is found to be unenforceable, it will be deemed severable, and the remainder of the agreement will remain in force.
INTELLECTUAL PROPERTY RIGHTS
You guarantee that any materials you provide (text, images, etc.) are either owned by you or you have the right to use them. We guarantee that any materials we provide are either owned by us or that we have permission to use them.
Upon full payment, we will assign all intellectual property rights to you, except for any pre-existing intellectual property or work developed separately from the project. We retain ownership of any work produced before or outside this project.
Content produced by us will remain under Innovative Marketing SA® trademark and may not be used outside the agreement period without written consent.
DISPLAYING OUR WORK
We may display aspects of the work we complete, including drafts, final designs, and articles, in our portfolio or other publications.
